1. Acceptance of Terms
By accessing, browsing, or using the Estrade platform ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and Estrade Financial Services Inc. ("Company", "we", "us", or "our"). If you do not agree with any part of these terms, you are expressly prohibited from using the Service and must discontinue use immediately.
2. Eligibility and User Conduct
The Service is intended solely for users who are eighteen (18) years of age or older. By using the Service, you represent and warrant that you possess the legal capacity to enter into these terms. Users agree not to:
- Use the Service for any illegal, fraudulent, or unauthorized purpose.
- Violate any local, state, national, or international laws or regulations.
- Interfere with or disrupt the security or integrity of the Service.
- Attempt to gain unauthorized access to any part of the platform or its systems.
3. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ESTRADE, ITS AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
4. Indemnification
You agree to defend, indemnify, and hold harmless Estrade and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, including any data or content transmitted or received by you.
5. Modification of Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
1. Information Collection and Usage
We collect several types of information for various purposes to provide and improve our Service to you. This includes personally identifiable information (e.g., email address, name, phone number), usage data (e.g., IP address, browser type), and financial details required to facilitate secure escrow transactions. We use this data to provide and maintain our Service, notify you about changes, allow you to participate in interactive features, provide customer support, and monitor the usage of our Service.
2. Data Retention and Security
The Company will retain your Personal Data only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use your Personal Data to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data to comply with applicable laws), resolve disputes, and enforce our legal agreements and policies. The security of your data is important to us, but remember that no method of transmission over the Internet, or method of electronic storage is 100% secure.
3. Disclosure of Data
Under certain circumstances, the Company may be required to disclose your Personal Data if required to do so by law or in response to valid requests by public authorities (e.g. a court or a government agency). We may also disclose your Personal Data in the good faith belief that such action is necessary to:
- Comply with a legal obligation.
- Protect and defend the rights or property of the Company.
- Prevent or investigate possible wrongdoing in connection with the Service.
- Protect the personal safety of users of the Service or the public.
- Protect against legal liability.
1. The Escrow Process
The escrow process begins when a Buyer and Seller agree to terms and create a contract on the Estrade platform. Funds are securely locked in the Estrade wallet. The Seller is then notified to provide the services or assets as agreed. Once the Buyer receives and verifies the delivery, they must release the funds. Estrade acts as a neutral third party to ensure funds are only released when both parties have fulfilled their obligations.
2. Role and Responsibilities
Buyer Responsibilities: Buyers must ensure they have sufficient funds before initiating a contract. Buyers are responsible for inspecting the assets or services delivered by the Seller within the agreed inspection period.
Seller Responsibilities: Sellers must deliver the agreed-upon assets or services promptly and in accordance with the contract terms. Sellers must provide proof of delivery when requested.
3. Fees and Payments
Estrade charges a platform fee (typically 5%) for its escrow services. This fee is automatically deducted from the total transaction amount upon successful completion. All payments within the platform are held in secure, non-interest-bearing accounts until the transaction is finalized or cancelled according to these rules.
1. Initiation of Dispute
If a disagreement arises that cannot be resolved between the Buyer and Seller, either party may initiate a dispute through the Estrade dashboard. Once a dispute is initiated, the funds for that transaction are frozen and cannot be released until a resolution is reached through our arbitration process or by mutual agreement of both parties.
2. Arbitration and Evidence
Estrade's arbitration team will review the dispute within 5-7 business days. Both parties will be required to provide evidence supporting their case, including but not limited to: screenshots of communications, proof of delivery, tracking numbers, or asset verification documents. Estrade reserves the right to request additional information from either party to facilitate a fair ruling.
3. Finality of Decisions
Decisions made by Estrade's arbitration team are final and binding on both the Buyer and the Seller. By using the Service, you agree to abide by the results of our dispute resolution process. Funds will be dispersed according to the arbitrator's ruling, which may include a full refund to the Buyer, a full payout to the Seller, or a split distribution between both parties.
